Terms of Use
Version 1.0 · Published 20 August 2026 · Effective 20 August 2026
These terms form a legally binding agreement between OHMLEY and the organisation using it, and apply to everyone who signs in. They are business-to-business terms. Please read section 12 (Liability), which limits our responsibility to you.
1. These terms
By creating an account, accepting an invitation, or using OHMLEY, you agree to these terms, the Acceptable Use Policy and the Data Processing Agreement, which are all part of this agreement. If you agree on behalf of an organisation, you confirm you have authority to bind it (the “Customer”). Together with the order or plan selected, these documents are the entire agreement between us and replace anything said or written beforehand.
“We”, “us” and “our” mean OHMLEY LTD. “OHMLEY” means the OHMLEY website, application, mobile web experience, documentation and support.
2. Eligibility
OHMLEY is supplied for business use only. You must be at least 18 and using it for work purposes on behalf of an organisation. As a business customer you do not have consumer cancellation rights; nothing in these terms affects the statutory rights of anyone who is in fact acting as a consumer.
3. Accounts and security
- Every person must have their own named account. Sign-in details must not be shared and accounts must not be transferred between people.
- New accounts must verify their email address before the app can be used.
- You are responsible for keeping credentials confidential and for everything done under your account.
- Customer administrators control who is invited, what level they hold (engineer, manager or admin) and what permissions they have, and must deactivate leavers promptly.
- Tell us immediately at the security contact address if you suspect unauthorised access.
4. Customer responsibilities
- Having a lawful basis for the personal data it puts into OHMLEY and telling its staff how that data is used.
- The accuracy, completeness and legal sufficiency of every record, report, certificate and sign-off created in OHMLEY.
- Deciding which records must be kept, for how long, and configuring retention settings accordingly.
- Complying with all applicable safety, electrical and industry standards, including BS 7671 and CDM duties. OHMLEY is a record-keeping tool: it does not verify the technical or regulatory correctness of any record and is not a substitute for competent professional judgement.
- Providing the internet access, devices and browsers needed to use the service.
5. Acceptable use
Use of OHMLEY is subject to the Acceptable Use Policy. Breaching it is a breach of these terms.
6. Subscriptions, fees and trials
- Plans are sold per company on a monthly subscription. The plan, its included user seats and its price are those shown on our pricing page and confirmed when the subscription starts.
- Each plan includes a number of users (Starter 5, Business 15, Professional 30). Additional users are charged at £5 per user per month. Seat usage is enforced in the app and shown on the billing screen.
- OHMLEY is not currently VAT registered, so VAT is not charged. We will update our pricing and billing information if that changes.
- Subscriptions renew automatically on the selected monthly or annual cycle until cancelled, and are payable in advance. Additional users follow the same billing cycle at £5 per month or £60 per year.
- Free trials, where offered, run for the period stated at sign-up. At the end of a trial the account converts to the selected paid plan unless it is cancelled first.
- Either party may cancel a subscription with effect from the end of the current paid period, from the billing screen or by writing to us. Fees already paid are not refundable except where the law requires, or where we terminate under section 14 without cause.
- We may change prices on 30 days' written notice. If you do not accept a price change you may cancel before it takes effect.
- If an invoice is unpaid 14 days after its due date we may suspend access after giving notice, and may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
7. Service availability and support
We aim to keep OHMLEY available 24/7 and target 99.5% monthly availability, excluding planned maintenance and events outside our reasonable control. Planned maintenance is carried out at quiet times and, where it is likely to interrupt the service, we give advance notice in the app. We do not currently offer contractual service credits. Support is provided by email during UK business hours through the Help & support screen.
8. Intellectual property
We (and our licensors) own OHMLEY, its software, design, branding, templates and documentation, and all intellectual property in them. The Customer receives a non-exclusive, non-transferable, revocable right to use the service for its internal business purposes during the subscription. No other rights are granted. You must not copy, resell, reverse-engineer, scrape or create derivative works from the service except to the extent the law says you may.
9. Customer content and data
The Customer keeps ownership of everything it puts into OHMLEY — jobs, reports, diaries, photographs, documents, signatures and exports. The Customer grants us a limited licence to host, copy, transmit and display that content only so far as needed to provide, secure and support the service. Where content includes personal data, the Data Processing Agreement applies and we act as processor.
We may use aggregated, anonymised statistics that cannot identify the Customer or any individual to operate and improve the service.
10. Third-party services and AI features
OHMLEY relies on third-party hosting, storage, email delivery and AI providers, listed on our Legal notice page. Optional AI features (such as voice-to-report) send the submitted content to an AI provider for processing. AI output may be inaccurate or incomplete and must be reviewed by a competent person before it is relied on, signed or issued. AI output is provided without warranty of any kind.
11. Warranties
We warrant that we will provide the service with reasonable care and skill, in accordance with these terms, and that we will not knowingly introduce malicious code. Except as expressly stated, and to the fullest extent the law allows, all other warranties, conditions and terms implied by statute or common law are excluded. OHMLEY is not supplied as a certification, compliance or engineering-verification system.
12. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
- Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, contracts, goodwill, anticipated savings, or loss or corruption of data to the extent it results from the other party's own acts.
- Subject to that, our total aggregate liability arising in any 12-month period, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees paid by the Customer for the service in that 12-month period.
- We are not liable for loss caused by inaccurate or incomplete records entered by users, by reliance on AI-generated text that has not been checked by a competent person, or by the Customer's failure to configure retention, permissions or offboarding correctly.
- The Customer is responsible for keeping its own copies of records it is legally required to retain; export tools are provided in the app for this purpose.
13. Indemnity
The Customer will indemnify us against losses, damages and reasonable costs arising from content it uploads that infringes third-party rights or breaks the law, and from its breach of the Acceptable Use Policy. We will indemnify the Customer against third-party claims that its permitted use of OHMLEY infringes UK intellectual property rights, on condition that it tells us promptly, lets us conduct the defence and does not settle without our consent.
14. Suspension and termination
We may suspend access, giving reasons, where there is a security risk, unlawful or abusive use, non-payment after notice, or a serious breach of these terms. Either party may terminate for material breach that is not remedied within 30 days of written notice, or immediately if the other becomes insolvent. On termination, all rights to use OHMLEY end and outstanding fees fall due.
15. Data export and deletion on exit
Before an account closes, administrators can export the company's data (structured export plus PDF job packs) from the app. For 30 days after termination we will keep the data available for export on request. After that, data is deleted or returned in line with the DPA and the Customer's retention settings. Company closure requires explicit administrator confirmation and a 30-day grace period during which it can be cancelled.
16. Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. This does not apply to information that is public through no breach, independently developed, or required to be disclosed by law.
17. Changes to the service and these terms
We may improve or change the service, provided we do not materially reduce its core functionality during a paid subscription term. We may update these terms; material changes are versioned, dated, published here with the previous version retained, and notified at least 30 days in advance. Continued use after the effective date, or acknowledging the update when prompted at sign-in, means acceptance.
18. General
- Neither party is liable for failure caused by events outside its reasonable control.
- Neither party may assign this agreement without the other's consent, except to a group company or on a sale of the business.
- No one other than the parties has rights under the Contracts (Rights of Third Parties) Act 1999.
- A delay in enforcing a term is not a waiver of it. If any term is found unenforceable, the rest continue in force.
- Notices to us must be sent to the contact address below; notices to the Customer are sent to its administrator email addresses.
19. Governing law and jurisdiction
This agreement and any dispute arising from it (including non-contractual disputes) are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
